About The Event

The Indian Companies Act, 2013 is now a reality. Various features of the new 2013 Act, significantly differ from those in the previous 1956 Act.

As investors & board members of portfolio companies, Private Equity and Venture Capital fund professionals, are now equipped with various new features and rights enabling them to protect their interests. The new Act also increases the need for greater governance. This makes knowledge of the Indian Companies Act, 2013 a vital tool in the armoury of General Partners and Limited Partners of Private Equity and Venture Capital funds.

Significant features of the new Act, 2013 encompass corporate governance, board conduct, duties and liabilities of key management personnel, insider trading, M&A structuring, protocol for mergers with foreign companies, revised audit and reporting requirements, disclosure requirements and penalties, amongst others, which are of direct relevance to portfolio companies of Private Equity & Venture Capital funds.

It is imperative for all Private Equity and Venture Capital fund professionals, in addition to their legal advisers, to be well versed with the new Act. The Act will influence their interests and responsibilities in a most fundamental fashion in the years to come.
